The Company agrees to provide the Influencer with products and a unique affiliate discount code in exchange for the Influencer’s creation and publication of promotional content as described herein. This Agreement establishes a non-exclusive, independent contractor relationship. The Influencer is not an employee, agent, or legal representative of Tractr Jeans, LLC.

In consideration of the product compensation set forth in Section 3, the Influencer agrees to complete all of the following within fourteen (14) calendar days of confirmed receipt of the Products:

• Publish a minimum of two (2) short-form video posts (“Reels” or equivalent) — one (1) per product received — on the Influencer’s social media platforms;
• Tag @tractrjeans in every post published under this Agreement, on every platform;
• Include #tractrjeans and either #ad or #gifted in every caption;
• Verbally reference or display the unique discount code in each video, or include it clearly in the caption;
• Publish a minimum of one (1) Story post per Reel, including a link sticker directing viewers to tractrjeans.com;
• Maintain the discount code in their bio or link-in-bio for the 14-day posting window;
• Refrain from publishing sponsored content for competing denim brands during the 14-day active posting window.

The Company will provide the Influencer with two (2) Tractr Jeans products of the Influencer’s choosing (the “Products”), subject to availability, at no cost to the Influencer. Products are non-refundable and non-returnable upon delivery, provided the Influencer fulfills the Deliverables in Section 2. If the Influencer fails to fulfill the Deliverables without prior written approval, the Company reserves the right to request return of the Products or invoice the Influencer for their retail value.

The Influencer will receive a unique discount code (TRACTR-[NAME]15) granting customers 15% off at tractrjeans.com. The Influencer agrees not to share, sell, or transfer the Code to other creators or third parties, and not to apply the Code to personal purchases for the purpose of generating commission.

The Influencer will earn ten percent (10%) of net sale value for each qualifying purchase made using their unique Code. Commissions are calculated and paid monthly by the 15th of the following month via PayPal or bank transfer. A minimum payout threshold of $20.00 applies. The Company will issue a Form 1099-NEC if annual commission earnings reach or exceed $600.00. The Influencer is solely responsible for all applicable taxes on commission income.

The Influencer retains ownership of all content created under this Agreement. By signing, the Influencer grants Tractr Jeans, LLC a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, edit, display, and distribute the content for the Company’s marketing purposes including social media, paid advertising, and email marketing. The Company will credit the Influencer when repurposing content on social media.

The Influencer must include #ad or #gifted in every post, placed clearly and conspicuously. The Influencer is solely responsible for ensuring their content meets FTC guidelines and platform-specific disclosure requirements.

The Influencer agrees to keep the specific financial terms of this Agreement (including commission rates) confidential and not disclose them to third parties without prior written consent of the Company.

Either party may terminate this Agreement at any time by providing written notice. Upon termination, the affiliate Code will be deactivated, earned commissions on confirmed sales prior to termination will be paid in the next payment cycle, and the content license in Section 6 survives termination. The Company may terminate immediately if the Influencer engages in conduct harmful to the brand’s reputation.

The Influencer is an independent contractor and not an employee of Tractr Jeans, LLC. The Influencer is solely responsible for taxes, insurance, and other obligations associated with their independent contractor status.

This Agreement shall be governed by the laws of the State of New York. Any disputes shall be submitted to binding arbitration in New York County in accordance with the rules of the American Arbitration Association.

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or representations. It may only be amended by a written document signed by both parties.
